These Terms of Service ("Terms") govern your use of TDNetworkPro.com ("Platform," "we," "us," or "our"). By creating an account and using TDNetworkPro, you agree to these Terms. If you do not agree, do not use the Platform.
1. Eligibility
TDNetworkPro is available exclusively to active mobile tool dealers. By registering, you represent that you are a professional tool dealer operating a legitimate tool sales business. We reserve the right to verify dealer status and terminate accounts that do not meet this requirement.
2. Subscriptions
Access to TDNetworkPro requires a paid subscription. Subscriptions are billed monthly and automatically renew unless cancelled. You may cancel at any time through the Manage Billing portal in your Profile tab. No refunds are provided for partial billing periods.
We reserve the right to change subscription pricing with 30 days notice to active subscribers.
3. Acceptable Use
By using TDNetworkPro, you agree to:
- Only submit customer information that is accurate and based on your direct business experience with that customer
- Only use the platform for legitimate business purposes related to tool sales and customer management
- Only access customer information to unilaterally evaluate whether to extend trade credit, payment plans, or tool financing to a specific individual — not to reach agreement with any other TDNetworkPro user on credit decisions, pricing, or any other competitive matter
- Not use the platform for marketing, sales prospecting, competitive intelligence, to reach agreement with any other TDNetworkPro user, or any non-credit purpose
- Not submit false, misleading, or defamatory information about any customer or dealer
- Not use the platform to harass, threaten, or target any individual
- Not attempt to access other dealers' accounts or circumvent security measures
- Not scrape, copy, or redistribute data from the platform
- Keep your login credentials confidential and not share account access
4. Customer Data & Accuracy
You are solely responsible for the accuracy of information you submit to the database. TDNetworkPro does not verify the accuracy of individual entries. By submitting an entry, you represent that the information is truthful and based on your actual business experience with that customer.
Submitting knowingly false information about a customer is grounds for immediate account termination and may expose you to legal liability.
5. Dealer Messaging
The messaging feature is provided for professional communication between dealers about specific customers. All messaging use must be for the sole purpose of unilaterally evaluating individual credit decisions. You may not use the messaging system to reach any agreement — express or implied — with any other TDNetworkPro user regarding prices, credit terms, whether to extend or refuse credit to any customer, or any other competitively sensitive matter. Misuse of the messaging system including spam, harassment, coordination on business decisions, or off-topic communication may result in immediate account suspension or termination.
6. Intellectual Property
The TDNetworkPro platform, including its design, code, and content, is owned by TDNetworkPro. You may not copy, reproduce, or distribute any part of the platform without written permission. Data you submit remains your responsibility, but by submitting it you grant TDNetworkPro a license to display it to other subscribers as part of the platform's core functionality.
7. Disclaimer of Warranties
TDNetworkPro is provided "as is" without warranties of any kind. We do not guarantee the accuracy, completeness, or reliability of any information in the database. Information submitted by dealers represents their individual experiences and opinions and should be used as one factor in your own business judgment — not as the sole basis for decisions.
8. Limitation of Liability
To the maximum extent permitted by law, TDNetworkPro shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform or reliance on information found within it. Our total liability to you shall not exceed the amount you paid for your subscription in the 3 months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless TDNetworkPro and its operators from any claims, damages, or expenses arising from your use of the platform, your submitted content, or your violation of these Terms.
10. Account Termination
We reserve the right to suspend or terminate your account at any time for violation of these Terms, suspected fraudulent activity, or any conduct we determine to be harmful to the platform or its users. You may also delete your account at any time by contacting support.
11. Governing Law
These Terms are governed by the laws of the State of Michigan. Any disputes shall be resolved in the courts of Michigan.
12. Changes to Terms
We may update these Terms from time to time. Continued use of TDNetworkPro after changes are posted constitutes acceptance of the updated Terms.
